Plain English terms for working together. No hidden surprises, no small print trickery.
Overview
These terms govern the relationship between you (the client) and Nene IT (that's me, Jason Burns). By using my services, you're agreeing to these terms.
I've tried to write these in plain English because nobody enjoys reading legal documents. If something isn't clear, please ask - I'd rather explain it properly than hide behind complicated language.
The Basics
- Nene IT is a trading name of Jason Burns, based in the Nene Valley, Northamptonshire
- "Services" means website design, development, hosting, maintenance, and custom software
- "Subscription" means our monthly website packages
- "One-off project" means a single website build paid upfront
Subscription Websites
Our subscription model is designed to make professional websites accessible to sports clubs and member organisations without large upfront costs.
How It Works
The first month is where the heavy lifting happens. We'll work together to design and build your website, get all the content in place, and make sure you're happy with everything. After that, you pay a monthly fee which covers:
- Secure UK-based hosting
- SSL certificate (HTTPS security)
- Regular backups
- Software updates and security patches
- Ongoing monitoring
- Content updates (see section 4)
- Direct support from me
Minimum Term
Subscription websites have a minimum term of 3 months. This is because the first month involves significant work to design and build your site. After the initial 3 months, your subscription continues on a rolling monthly basis and you can cancel with 30 days' notice.
Building for Independence
Where possible, I build websites using content management systems that allow you to make your own updates. I'll show you how to use it and you're welcome to make changes yourself. The content updates included in your subscription are there for when you'd rather have me handle it.
Payments
Subscription Payments
All subscription payments are made via GoCardless Direct Debit, collected through our accounting system (QuickFile). This is the only payment method accepted for subscription services.
Direct Debit protects both of us. You're covered by the Direct Debit Guarantee (automatic refund if something goes wrong), and I can rely on consistent payments to maintain your service. It also keeps costs down, which means lower prices for you.
Payments are collected on or around the same date each month. You'll receive advance notice of the amount and date before each collection.
One-Off Website Projects
For one-off website builds (not subscriptions), payment is accepted via Stripe (card payment). Typically this is structured as:
- 50% deposit before work begins
- 50% balance on completion, before the site goes live
What Happens If a Payment Fails
I understand that sometimes payments fail - cards expire, bank accounts change, life happens. Here's how I handle it:
I'll contact you to let you know and arrange for the payment to be retried within 7 days. No drama, these things happen.
I'll get in touch again to resolve the issue. We'll need to sort out any outstanding balance and update your payment details if needed.
If we can't resolve the payment issue after three attempts, I reserve the right to suspend your website until payment is received. I don't want to do this, but I also can't provide services for free.
Late Payment
I don't charge interest on late payments. I'd rather work with you to sort out any issues than add extra charges. However, accounts that remain unpaid for more than 30 days may have their website taken offline until the balance is cleared.
Content Updates
Your subscription includes content updates - but let's be clear about what that means.

Reasonable Use
Content updates are included for reasonable business use. This typically means a handful of update requests per month - enough to keep your website current and accurate.
If you're making significant changes every day, or requesting changes that take hours to implement, we should probably talk about a different arrangement. I'm not trying to be difficult - I just need to manage my time across all clients fairly.
If you have lots of updates, it's often more efficient to batch them together and send them over in one go rather than drip-feeding them throughout the month.
Response Times
I aim to complete content updates within 2-3 working days. Urgent requests (like fixing an error or wrong information) will be prioritised. I work Monday to Friday, 9am to 5pm - requests received outside these hours will be picked up the next working day.
Your Responsibilities
For this to work well, I need a few things from you:
During the Build
- Provide content promptly - Text, images, logos, and any other materials I need. If content isn't provided within 14 days of request, I may need to proceed with placeholder content or pause the project.
- Respond to questions - I'll need your input and decisions at various stages. Please respond within 7 days where possible.
- Review and approve - Check the work and let me know if changes are needed before we go live.
Ongoing
- Keep payment details current - Let me know if your bank details change.
- Provide accurate information - Make sure any content you send is accurate and you have the right to use it.
- Keep login credentials secure - If I give you access to a content management system, keep those details safe.
- Don't use the website for anything illegal - This should go without saying, but websites must not be used for unlawful purposes, spam, copyright infringement, or anything dodgy.
Content You Provide
You're responsible for ensuring you have the right to use any content you provide (text, images, logos, etc.). If you provide me with someone else's copyrighted material and it causes a problem, that's on you, not me.
Ownership & Intellectual Property
What You Own
- Your content - All text, images, and materials you provide remain yours.
- Your domain name - If you have your own domain, it stays in your name and under your control.
- Custom design work - Upon payment in full, the custom design created specifically for your website becomes yours.
What I Retain
- Underlying code and tools - The code libraries, frameworks, and systems I use to build websites remain mine. You have a licence to use them as part of your website.
- General knowledge and techniques - I can use the skills and techniques developed on your project for other clients.
Third-Party Materials
Some elements of your website may include third-party materials (stock images, fonts, plugins). These remain the property of their respective owners and are subject to their own licence terms.
Portfolio Rights
I may include your website in my portfolio and use screenshots for marketing purposes, unless you specifically ask me not to in writing.
Cancellation & Termination
Cooling-Off Period
New customers may cancel within 14 days of signing up for a full refund, minus the value of any work already completed.
After the Minimum Term
After your initial 3-month minimum term, you can cancel your subscription at any time by giving 30 days' written notice. An email to support@neneit.co.uk is fine.
No refunds are given for partial months - your service will continue until the end of your paid period.
What Happens When You Cancel
- I'll provide you with a backup of your website files
- You retain the right to use your custom design
- If you have your own domain, I'll help transfer it (admin fees may apply)
- Any outstanding balance remains payable
- Your website will be taken offline once your paid period ends
If I Need to Cancel
I reserve the right to terminate services if:
- Payment remains outstanding after three attempts to resolve
- The website is being used for illegal purposes
- You're in serious breach of these terms
I'll always try to resolve issues before it comes to this, and I'll give reasonable notice where possible.
Liability & Warranties
What I Promise
- I'll provide services with reasonable skill and care
- I'll do my best to keep your website online and running smoothly
- I'll respond to issues promptly and keep you informed
What I Can't Guarantee
- 100% uptime - I aim for 99% availability, but occasionally things break. Hosting providers have outages. The internet has bad days.
- Search engine rankings - I'll build your site with good SEO practices, but I can't guarantee specific Google positions.
- Business results - A great website helps, but I can't guarantee it will make you money.
- Third-party services - If Google changes something, or a payment provider has issues, that's outside my control.
Limitation of Liability
To the fullest extent permitted by law:
- I'm not liable for indirect or consequential losses (lost profits, lost business, etc.)
- My total liability is limited to the fees you've paid in the 12 months before the issue arose
- Nothing in these terms excludes liability for death, personal injury, or fraud
Your Indemnity
You agree to indemnify me against any claims arising from:
- Content you've provided that infringes someone else's rights
- Your use of the website for unlawful purposes
- Your breach of these terms
General Bits
Changes to These Terms
I may update these terms from time to time. If I make significant changes, I'll let you know at least 30 days in advance. Continuing to use the services after changes take effect means you accept them.
Force Majeure
Neither of us is liable for delays or failures caused by things outside our control - natural disasters, internet outages, pandemics, acts of government, etc.
Entire Agreement
These terms, along with any specific quote or proposal I've provided, make up our entire agreement. Anything said in casual conversation doesn't override what's written here.
Governing Law
These terms are governed by English law. Any disputes will be handled by the courts of England and Wales.
Severability
If any part of these terms turns out to be unenforceable, the rest still applies.
